Terms of Service

These Terms of Service ("Terms") are an agreement between you and OCL Marketing LLC, a Texas limited liability company doing business as Upfit Sites ("Upfit Sites," "we," "us"). They govern your use of upfitsites.com, the website previews we create, and any subscription you purchase (together, the "Services"). By requesting a preview, checking the acceptance box at checkout, or using the Services, you agree to these Terms.

1. The Services

We build, host and maintain websites for local service businesses. A subscription includes the items listed on our pricing section at the time you subscribe: a rebuilt website, hosting, an SSL certificate, an AI chat assistant, small edits and a monthly results report. Optional add-ons are billed as described at checkout.

2. Free previews

We may create a preview of a website for your business before you purchase anything. Previews are provided free, are not indexed by search engines, and are deleted 21 days after creation unless you claim them. If you would like a preview removed sooner, email support@upfitsites.com and we will remove it within one business day.

3. Subscriptions, billing and automatic renewal

• Plans. Monthly plans cost $149 per month. Annual plans cost $1,490 per year. Prices exclude any applicable taxes.
• Billing date. Your first charge happens when you claim your site at checkout. Monthly plans then renew on the same day each month; annual plans renew on the same day each year.
• Automatic renewal. Your subscription renews automatically at the end of each billing period and your payment method is charged until you cancel.
• Payment processing. Payments are processed by our payment processor. We do not store full card numbers. Charges appear on your statement as UPFITSITES.COM.
• Price and term changes. We will email you at least 7 days before any change to your price or billing terms takes effect. The change applies at your next renewal. If you don't agree, you can cancel before then.
• Failed payments. If a payment fails, we will email you a secure link to update your payment method. If payment is not received within 14 days, your site may be temporarily taken offline until it is. If payment is not received within 30 days, your subscription will be canceled.

4. Cancellation

You can cancel anytime using our online cancellation form, the cancel link in any billing email, or by emailing support@upfitsites.com. Cancellation stops future charges and takes effect at the end of your current paid period; your site stays live until then. Refunds are covered by our Refund & Cancellation Policy.

5. Your content and approvals

• You own the business information, logos, photos and other material you provide or that appears on your current website ("Your Content"). You grant us a license to use Your Content to build, host, display and maintain your site and preview.
• You confirm you have the right to use Your Content and that it doesn't infringe anyone else's rights.
• Some site content is drafted with the help of automated and AI tools. You will be asked to review and approve your site before it goes live and before edits are published. You are responsible for the accuracy of the facts on your site, including licenses, service areas, prices, hours, guarantees and claims about your business.

6. Our materials and your domain

• Your domain. Your domain name remains registered to you. We never require you to transfer it to us.
• Site design and code. The design, code, templates and software we use to create and run your site belong to us or our licensors. While your subscription is active, you have a license to use your site as hosted by us.
• Leaving. If you cancel, you can purchase a full export of your site files as a one-time add-on, after which you may use and host those files anywhere. Your Content always remains yours.

7. Edits and support

Small edits (text, photos, hours, phone numbers, prices and service lists) are included. New pages, redesigns and new features are paid add-ons, and we will tell you the price before doing the work. Support is provided by email and online forms. We aim to reply within one business day.

8. Acceptable use

You may not use the Services to publish anything unlawful, deceptive, infringing or harmful, including false reviews or fake credentials. We may remove content or suspend a site that violates this section after notice to you, or immediately where required by law.

9. Availability and third-party services

We use commercially reasonable efforts to keep sites online, but we do not guarantee uninterrupted service. The Services rely on third-party providers (for example hosting, AI, telephony and payment providers), and features that depend on them may change or become unavailable.

10. Disclaimers

We work to make your site effective, but we do not guarantee any particular number of visitors, calls, leads, search rankings or revenue. Except as expressly stated in these Terms, the Services are provided "as is" and "as available," and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent permitted by law.

11. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or lost business. Our total liability for any claim relating to the Services is limited to the amount you paid us in the 3 months before the event giving rise to the claim.

12. Indemnity

You agree to defend and indemnify Upfit Sites against claims arising from Your Content, the facts you approve for your site, or your violation of these Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Collin County, Texas, and both parties consent to that venue. Before filing any claim, you agree to email us and give us 30 days to try to resolve it informally.

14. Changes to these Terms

We may update these Terms. We will post the new version here with a new effective date and, for changes that materially affect active subscriptions, email you at least 7 days before they take effect.
